These Seller Terms & Conditions (“Agreement”) govern the relationship between LibanMall (“Platform”, “LibanMall”, “we”, “us”, or “our”) and any person, business, brand, shop, company, boutique, artisan, or individual registering as a seller (“Seller”, “you”, or “your”) on the LibanMall marketplace.

By registering as a seller, creating a store, listing products, using seller tools, subscribing to a seller plan, or selling through LibanMall, you confirm that you have read, understood, and agreed to be bound by this Agreement.

These Seller Terms apply in addition to LibanMall’s general Terms & Conditions, Privacy Policy, and any other platform rules or policies published by LibanMall. This polished version keeps the core structure of your original seller agreement while adapting it to LibanMall’s zero-commission, cash-on-delivery, seller-managed model.


1. Nature of the Platform

LibanMall is an online marketplace that enables independent sellers to create their own online store, display products, receive customer orders, and sell products across Lebanon.

LibanMall provides the technology platform, seller dashboard, product listing tools, order management tools, customer communication tools, marketing features, and related digital services.

Unless expressly stated otherwise, LibanMall is not the owner, manufacturer, importer, distributor, reseller, or direct seller of products listed by sellers.

The sales contract for each order is concluded directly between the Seller and the customer.


2. Seller Eligibility

To register and sell on LibanMall, you confirm that:

  • You are at least 18 years old.

  • You have the legal capacity to enter into binding agreements.

  • You are legally allowed to sell the products you list.

  • You have any permits, approvals, licenses, or authorizations required for your business or products.

  • Your registration information is accurate, complete, and up to date.

  • You will comply with all applicable laws and regulations in Lebanon and in any area where you offer delivery.

If you register on behalf of a company, shop, brand, or business, you confirm that you are authorized to bind that entity to this Agreement.

LibanMall may request additional information, verification, documents, or business details before approving or continuing a seller account.


3. Seller Account

You are responsible for:

  • Maintaining the confidentiality of your login details.

  • All activity carried out through your seller account.

  • Keeping your store information accurate.

  • Keeping your contact information updated.

  • Protecting your account from unauthorized access.

  • Informing LibanMall immediately if you suspect misuse or unauthorized access.

LibanMall may suspend, restrict, or terminate your account if we believe that:

  • Your account information is false, incomplete, or misleading.

  • Your account is being misused.

  • Your activity creates legal, operational, security, customer, or reputational risk.

  • You have breached this Agreement or any LibanMall policy.

  • Your conduct harms customers, sellers, LibanMall, or the reputation of the platform.


4. Seller Store

Each approved Seller may receive access to a store page on LibanMall.

Your store may include your business name, logo, banner, description, product listings, delivery information, return policy, contact details, WhatsApp link, social links, and other seller-related content.

You are fully responsible for all information, images, descriptions, policies, and content published under your store.

LibanMall may edit, hide, reject, remove, or request changes to seller store content if it is inaccurate, incomplete, misleading, unlawful, low-quality, offensive, inappropriate, or harmful to the platform.


5. Product Listings

The Seller is solely responsible for all product listings published on LibanMall, including:

  • Product titles.

  • Descriptions.

  • Images.

  • Prices.

  • Specifications.

  • Categories.

  • Variations.

  • Sizes, colors, and options.

  • Stock levels.

  • Delivery information.

  • Warranty information.

  • Return and exchange terms.

You agree that all listings must be:

  • Truthful, accurate, and not misleading.

  • Lawful and compliant with applicable product and advertising laws.

  • Written clearly.

  • Supported by genuine or properly authorized product images.

  • Updated promptly when product details, prices, stock, or availability change.

You may not list prohibited, counterfeit, stolen, unsafe, infringing, illegal, restricted, misleading, or unauthorized goods.

LibanMall may review, edit, hide, reject, or remove any product listing at its sole discretion.


6. Seller Responsibilities

The Seller is fully responsible for:

  • The legality of products offered for sale.

  • Product quality, authenticity, and safety.

  • Accurate product descriptions and images.

  • Accurate stock availability.

  • Correct pricing.

  • Proper packaging.

  • Order processing.

  • Delivery performance where delivery is managed by the Seller.

  • Customer support related to the Seller’s products.

  • Honoring valid orders.

  • Handling complaints.

  • Handling returns, exchanges, replacements, refunds, and warranties.

  • Complying with consumer protection obligations.

  • Complying with tax, invoice, and business obligations.

  • Maintaining professional communication with customers.

The Seller must not engage in fraud, deceptive conduct, false advertising, fake reviews, price manipulation, fake discounts, spam, abuse, harassment, or any conduct that harms customers or the reputation of LibanMall.


7. Pricing

The Seller is free to set product prices unless LibanMall introduces specific rules for promotions, campaigns, technical requirements, or platform consistency.

The Seller must ensure that all prices shown on the platform are accurate and clearly reflect the actual selling price payable by the customer, excluding or including delivery fees as displayed on the website.

Once an order is accepted, the Seller may not change the price for that order except where cancellation is validly permitted due to a genuine error, stock issue, suspected fraud, or another reasonable cause.

The Seller is responsible for ensuring that prices, discounts, offers, and promotions are not misleading.


8. Orders and Fulfilment

When a customer places an order for a Seller’s product, the Seller must:

  • Review and process the order promptly.

  • Confirm availability.

  • Prepare the order properly.

  • Dispatch or arrange delivery within the stated timeframe.

  • Keep the order status updated where possible.

  • Notify the customer and/or LibanMall promptly of any delay, shortage, or inability to fulfil.

The Seller must not cancel accepted orders without valid reason.

Valid reasons may include:

  • Genuine stock unavailability.

  • Clear pricing or listing error.

  • Suspected fraud.

  • Delivery impossibility.

  • Customer unreachable.

  • Force majeure events.

  • Other reasonable business or legal reasons.

Repeated cancellations, delays, poor fulfilment, customer complaints, or unprofessional handling may result in warnings, restrictions, suspension, or termination.


9. Cash on Delivery and Payments from Customers

LibanMall currently supports a marketplace model where orders may be paid by Cash on Delivery, depending on the seller and available checkout options.

Where orders are paid by Cash on Delivery, payment is collected directly by the Seller, the Seller’s staff, or the Seller’s delivery representative.

Unless a separate written arrangement is introduced, LibanMall does not receive, hold, process, settle, or release customer payments to the Seller.

The Seller is responsible for:

  • Collecting customer payments.

  • Issuing invoices or receipts where required.

  • Handling payment disputes.

  • Handling refunds where due.

  • Managing failed deliveries or refused COD orders.

  • Complying with all applicable financial, accounting, and tax obligations.

LibanMall is not responsible for customers refusing to pay, failed COD collection, fake orders, delivery disputes, unpaid orders, or customer payment issues unless the issue was directly caused by LibanMall.


10. Seller Subscription Fees and Platform Charges

The Seller agrees to pay LibanMall the applicable seller subscription fees, service fees, featured listing fees, advertising fees, AI credit fees, setup fees, or other charges clearly published or agreed by LibanMall from time to time.

LibanMall currently operates on a zero-commission model under the standard seller subscription plan, unless otherwise agreed in writing. This means LibanMall does not take a percentage of the Seller’s sales under the standard model.

Subscription fees are charged for access to the platform, seller tools, store features, and related services. Subscription fees do not guarantee sales, traffic, orders, customer enquiries, profit, SEO ranking, or business results.

Unless otherwise stated in writing, seller subscription fees and service fees are non-refundable after activation.


11. No Guarantee of Sales or Results

LibanMall provides tools to help sellers create an online store, list products, receive orders, communicate with customers, and promote their business.

However, LibanMall does not guarantee:

  • Sales.

  • Profit.

  • Website traffic.

  • Customer enquiries.

  • Search engine rankings.

  • Social media engagement.

  • Conversion rates.

  • Business growth.

  • Success from Jenny AI or other AI tools.

  • Success from featured listings or promotional services.

Seller results depend on many factors, including product quality, pricing, images, descriptions, demand, delivery, customer service, reputation, and the Seller’s own marketing efforts.


12. Shipping and Delivery

Where shipping or delivery is managed by the Seller, the Seller is solely responsible for:

  • Defining delivery areas.

  • Setting delivery fees.

  • Ensuring delivery information is accurate.

  • Dispatching orders on time.

  • Ensuring delivery is performed properly and safely.

  • Handling failed deliveries.

  • Resolving delivery complaints.

  • Handling damaged or missing items where the issue is connected to the Seller’s delivery process.

The Seller bears the risk of loss or damage until the order is delivered to the customer, unless mandatory law or an approved written policy states otherwise.

LibanMall is not responsible for delivery delays, failed delivery, courier issues, wrong addresses, unavailable customers, damaged items during delivery, or delivery disputes unless the issue was directly caused by LibanMall.


13. Returns, Refunds, Exchanges, and Complaints

The Seller agrees to maintain a fair, clear, and transparent returns, refunds, exchange, and complaint process.

The Seller is responsible for handling:

  • Product defects.

  • Wrong items.

  • Damaged items.

  • Misleading listings.

  • Missing items.

  • Warranty claims.

  • Returns.

  • Exchanges.

  • Refunds.

  • Customer complaints.

Where a refund, exchange, replacement, or return is due because of a defective, incorrect, misleading, damaged, unavailable, or undelivered item attributable to the Seller, the Seller is responsible for resolving the issue.

LibanMall may assist in communication where possible, but the final responsibility for resolving product-related issues remains with the Seller.


14. Prohibited Products

The Seller may not sell or promote:

  • Illegal goods.

  • Counterfeit goods.

  • Stolen goods.

  • Unsafe or defective goods.

  • Products requiring licenses the Seller does not hold.

  • Products that violate applicable laws or regulations.

  • Products that infringe trademarks, copyrights, patents, or other rights.

  • Products with false medical, financial, legal, or performance claims.

  • Products that are offensive, harmful, abusive, or inappropriate.

  • Any product that LibanMall considers harmful to customers, sellers, or the platform.

LibanMall may remove any product or suspend any seller account without notice if we believe there is a violation or risk.


15. Prohibited Conduct

The Seller may not:

  • Upload false or misleading listings.

  • Use fake discounts.

  • Use fake reviews.

  • Manipulate search results or rankings.

  • Copy another seller’s content without permission.

  • Misuse customer data.

  • Contact customers for unauthorized purposes.

  • Harass, threaten, or abuse customers, sellers, or LibanMall staff.

  • Attempt to damage, hack, overload, or interfere with the platform.

  • Use the platform for fraud, spam, scams, or unlawful activity.

  • Damage the reputation of LibanMall or other sellers.

  • Encourage customers to misuse the platform.

LibanMall may take action against any Seller engaging in prohibited conduct.


16. Off-Platform Sales

LibanMall may allow sellers to communicate with customers through approved tools such as seller contact forms or WhatsApp enquiry links.

However, sellers must not misuse LibanMall to deceive customers, misrepresent products, avoid agreed platform fees, or engage in conduct that harms LibanMall or the marketplace.

Where LibanMall introduces rules around off-platform selling, commissions, promoted listings, or paid lead generation in the future, the Seller agrees to comply with those rules.


17. Jenny AI and AI Tools

LibanMall may provide AI-powered tools, including Jenny AI Assistant, to help sellers create product descriptions, SEO content, captions, images, prompts, product marketing material, social media ideas, or related content.

Jenny AI and any other AI tools are provided “as is” and “as available”, without any warranties, guarantees, or promises of accuracy, quality, legality, originality, suitability, reliability, performance, or commercial results.

The Seller understands and accepts that AI systems may produce incorrect, inaccurate, misleading, incomplete, offensive, biased, outdated, fabricated, or unexpected results. AI tools may also hallucinate, invent facts, make false claims, misinterpret information, generate unsuitable content, or create outputs that require human review.

The Seller uses Jenny AI and all AI-generated content at their own risk.

The Seller remains fully responsible for reviewing, editing, verifying, approving, publishing, and using any AI-generated content. LibanMall does not guarantee that AI-generated content will be accurate, lawful, original, non-infringing, compliant with advertising rules, suitable for the Seller’s products, or safe to publish.

The Seller must not rely on AI-generated content as legal, financial, medical, technical, advertising, compliance, or professional advice.

The Seller must not use AI tools to create or publish false claims, misleading product descriptions, prohibited content, offensive content, unlawful material, infringing content, unsafe instructions, or any content that violates LibanMall’s policies or applicable laws.

LibanMall, its owners, founders, directors, officers, employees, developers, operators, administrators, contractors, service providers, partners, representatives, affiliates, and agents shall not be liable for any loss, damage, claim, complaint, dispute, penalty, reputational harm, customer issue, legal issue, or business consequence arising from the Seller’s use of Jenny AI, other AI tools, or AI-generated content.

Some AI tools may require credits, limits, subscriptions, additional charges, or third-party services. LibanMall may modify, suspend, limit, or discontinue any AI feature at any time.

Any free monthly AI, SEO, content, image, or Jenny AI credits provided by LibanMall, including the 20 free monthly SEO credits, are promotional benefits only. They are not a guaranteed or permanent part of any seller plan unless expressly stated in writing. LibanMall may modify, reduce, suspend, or discontinue these free credits at any time, with or without notice, and without compensation, refund, rebate, or liability.


18. Intellectual Property

The Seller represents and warrants that all content uploaded to LibanMall, including logos, product descriptions, product images, banners, trademarks, text, videos, designs, and other materials, is owned by the Seller or used with proper authorization.

The Seller grants LibanMall a non-exclusive, royalty-free, worldwide right to use, reproduce, display, adapt, resize, optimize, distribute, and promote such content for the purpose of operating, improving, displaying, and marketing the marketplace, the Seller’s store, and the Seller’s products.

The Seller is solely responsible for any claim that its products, listings, images, logos, trademarks, descriptions, or content infringe the rights of any third party.


19. Customer Data and Privacy

The Seller must handle any customer personal data strictly for order fulfilment, customer support, delivery, returns, refunds, and legally permitted business purposes.

The Seller must not:

  • Collect unnecessary customer data.

  • Use customer data for unauthorized marketing.

  • Sell customer data.

  • Share customer data with unauthorized parties.

  • Misuse customer phone numbers, addresses, emails, or order details.

  • Retain customer data longer than necessary.

  • Use customer data for spam, harassment, or unrelated promotions.

The Seller is responsible for complying with applicable data protection, privacy, and electronic transaction laws.


20. Taxes and Invoices

The Seller is solely responsible for:

  • Determining applicable taxes.

  • Reporting sales and income where required.

  • Issuing invoices, receipts, or tax documents where required.

  • Paying VAT, income tax, customs, duties, municipal taxes, or any other charges applicable to its business.

  • Keeping proper financial records.

  • Complying with accounting and legal obligations.

LibanMall is not responsible for the Seller’s tax reporting, tax payments, business registration, permits, or legal compliance unless expressly required by law.


21. Platform Rights and Enforcement

LibanMall reserves the right, at its sole discretion, to:

  • Review seller accounts.

  • Review product listings.

  • Remove or disable listings.

  • Request additional documents or proof.

  • Investigate complaints.

  • Restrict account access.

  • Suspend seller accounts.

  • Terminate seller accounts.

  • Hide seller stores.

  • Cancel demo access.

  • Refuse future service.

  • Take any action necessary to protect customers, sellers, the platform, or LibanMall’s reputation.

LibanMall may take action without prior notice where necessary to protect customers, the platform, other sellers, compliance interests, or LibanMall’s legal or reputational position.


22. Suspension and Termination

LibanMall may suspend or terminate the Seller’s account immediately if the Seller:

  • Breaches this Agreement.

  • Breaches the general Terms & Conditions.

  • Sells prohibited or unlawful products.

  • Uploads false or misleading content.

  • Repeatedly fails to fulfil orders properly.

  • Causes customer harm or repeated complaints.

  • Engages in fraud, abuse, spam, or misconduct.

  • Misuses customer data.

  • Fails to pay required seller fees.

  • Exposes LibanMall to legal, operational, financial, security, or reputational risk.

The Seller may request account closure by written notice, subject to completion of all outstanding orders, refunds, disputes, customer complaints, and financial obligations.

Termination does not affect rights or obligations that arose before termination.


23. Subscription Cancellation and No Refunds

Seller subscriptions are paid for the selected subscription period.

Unless otherwise stated in writing by LibanMall, all seller subscription fees, setup fees, service fees, featured listing fees, advertising fees, AI credit fees, and other platform charges are non-refundable once paid or once the seller account, store, service, feature, or subscription has been activated.

Cancellation of a seller subscription does not entitle the Seller to a refund, partial refund, credit, rebate, compensation, or unused-period reimbursement.

No refund, credit, rebate, or compensation will be due if the Seller chooses to stop using LibanMall, closes their store, fails to use the platform, does not receive sales, does not receive customer enquiries, is dissatisfied with results, or no longer wishes to continue.

No refund, credit, rebate, or compensation will be due where the Seller’s account is suspended, restricted, removed, or terminated because of breach, misconduct, non-compliance, fraud, misuse, prohibited products, legal risk, reputational harm, unpaid fees, or violation of this Agreement or any LibanMall policy.

LibanMall may, at its sole discretion and without obligation, offer a goodwill credit, extension, or alternative solution in exceptional cases. Any such goodwill action does not create a right to a refund and does not change the non-refundable nature of seller subscriptions and platform charges.


24. Limitation of Liability

To the maximum extent permitted by law, LibanMall, its owners, founders, directors, officers, employees, developers, operators, administrators, contractors, service providers, partners, representatives, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, reputational, commercial, or financial damages, including but not limited to:

  • Loss of profit.

  • Loss of sales.

  • Loss of business opportunity.

  • Loss of reputation.

  • Loss of customers.

  • Loss of data.

  • Business interruption.

  • Website downtime.

  • Customer disputes.

  • Delivery issues.

  • Product defects.

  • Failed orders.

  • Cash-on-delivery payment refusal.

  • AI-generated content errors.

  • Third-party service failures.

  • Seller’s misuse of the platform.

LibanMall’s role is limited to providing the marketplace platform and related seller services.

Where liability cannot be fully excluded under applicable law, LibanMall’s maximum liability to the Seller for any claim arising under this Agreement shall be limited to the unused portion of the Seller’s current paid subscription period, calculated from the date of the event giving rise to the claim until the scheduled end of that subscription period.

This limitation does not create an automatic right to refund, credit, rebate, or compensation.

Nothing in this Agreement excludes liability where such exclusion is not permitted by applicable law.


25. Indemnity and Hold Harmless

The Seller agrees to indemnify, defend, and hold harmless LibanMall, its owners, founders, directors, officers, employees, developers, operators, administrators, contractors, service providers, partners, representatives, affiliates, and agents from and against any claims, losses, liabilities, damages, penalties, costs, expenses, legal fees, demands, complaints, disputes, actions, or proceedings arising out of or related to:

  • The Seller’s products.

  • The Seller’s listings, store content, images, descriptions, prices, claims, or policies.

  • Product defects, safety issues, warranties, returns, refunds, exchanges, or delivery problems.

  • The Seller’s breach of this Agreement.

  • The Seller’s breach of LibanMall’s general Terms & Conditions or other policies.

  • The Seller’s breach of any law, regulation, consumer protection rule, tax obligation, or business obligation.

  • Infringement of third-party rights, including intellectual property, privacy, publicity, or consumer rights.

  • Inaccurate, misleading, false, incomplete, or unlawful information provided by the Seller.

  • Misuse, unauthorized use, loss, or disclosure of customer data.

  • Customer complaints, disputes, payment issues, or legal claims connected to the Seller.

  • Delivery delays, failed deliveries, damaged products, missing products, or refused orders.

  • Fraud, abuse, misconduct, negligence, or unlawful activity connected to the Seller’s account or store.

  • Any harm caused to LibanMall, its users, its reputation, its operators, or its service providers by the Seller’s actions or omissions.

This obligation continues even after the Seller stops using LibanMall or the Seller’s account is suspended, cancelled, closed, or terminated.


26. No Employment, Partnership, or Agency

Nothing in this Agreement creates any employment, partnership, joint venture, agency, franchise, representation, or exclusive relationship between LibanMall and the Seller.

The Seller acts as an independent business.

The Seller may not present themselves as an employee, agent, partner, representative, or official spokesperson of LibanMall unless expressly authorized in writing.


27. Website Availability and Technical Issues

LibanMall aims to keep the platform available and functioning properly, but we do not guarantee uninterrupted access.

The website may be unavailable due to maintenance, updates, hosting issues, internet problems, security issues, third-party service failures, software errors, or circumstances beyond our control.

LibanMall is not liable for losses caused by downtime, technical errors, interrupted access, lost data, delayed notifications, failed emails, dashboard errors, or temporary unavailability.


28. Changes to Features, Plans, and Services

LibanMall may update, modify, add, remove, suspend, or discontinue any feature, tool, plan, price, service, AI function, seller benefit, or promotional option at any time.

Where possible, LibanMall may notify sellers of major changes, but continued use of the platform after changes are published or communicated means the Seller accepts the updated terms or service conditions.


29. Changes to this Agreement

LibanMall may update these Seller Terms & Conditions from time to time.

Updated terms become effective upon posting on the website, sending notice to the Seller, or making them available through the seller dashboard.

Continued use of the platform after updates are posted or communicated constitutes acceptance of the revised Agreement.


30. Governing Law and Disputes

This Agreement shall be governed by the laws of the Republic of Lebanon, unless another applicable law is required.

Any dispute arising out of or in connection with this Agreement should first be handled through friendly communication with LibanMall.

If the dispute cannot be resolved amicably, it may be referred to the competent courts or authorities in Lebanon, unless mandatory law requires otherwise.
